Board performance evaluation
In order to implement corporate governance, the company's board of directors passed the amendment to the "Board of Directors Performance Evaluation Methods" on August 6, 2020. The internal performance evaluation of the board of directors should be carried out at least once every year. The evaluation should be carried out by an external professional independent agency or a team of external experts and scholars at least every three years. once.
It is hoped that by clearly defining performance goals, the board of directors' functions and operating efficiency can be enhanced.
The scope of board evaluation includes performance evaluation of the entire board of directors, individual board members and functional committees. At the end of each year, the board of directors collects information related to board activities.
The "Board of Directors Performance Evaluation Questionnaire" and "Functional Committee Performance Evaluation Self-Evaluation Questionnaire" are distributed to each director to fill in, and each assessment item is scored based on the actual operation of the board of directors to compile the board of directors' performance evaluation results and report to the board of directors.
The performance evaluation of the Board of Directors in 2019 is as follows:

(1) Self-evaluation of performance appraisal of the board of directors
The performance evaluation of the board of directors includes five aspects and a total of 20 indicators, with an average score of 4.7 points.
It shows that the board of directors effectively participates in and supervises company policies, and the overall operation is perfect. Since the chairman of the board is also the general manager, in order to strengthen the supervisory function of the board of directors, an additional independent director will be added when the 112-year term of office expires and is fully re-elected.

(2) Self-evaluation of functional committee performance appraisal
The performance evaluation of functional committees (including the audit committee and salary and remuneration committee) includes five aspects and a total of 20 indicators. The average score of the evaluation results is 4.75 points.
It shows that the functional committee has perfect overall operation and meets the requirements of corporate governance.
